Business Terms of Service

1. Who we are and what this is

These terms are an agreement between Turnly [legal entity name — to be completed] (“Turnly”, “we”) and the business that signs up (“you”). Turnly is software for running a queue: your customers get a number on a web page or in WhatsApp and are told when it is their turn.

2. Before you can go live

  • You must give accurate business details and a valid trade licence. We review them before your QR codes work for customers.
  • You must turn on two-step sign-in for the owner account and keep your sign-in details private.
  • You are responsible for everyone you invite as staff or manager.
  • We may refuse, pause or end an account that we cannot verify.

3. Price and trial

  • The first 60 days are free and need no card.
  • After that the price is $2 per location per month for the Web plan or $3 for the WhatsApp plan, plus $2 per location per month if you add the AI helper. These are launch prices and may change with 30 days’ notice.
  • WhatsApp message fees are charged by Meta to you, on your own WhatsApp Business Account. They are not part of our price and we do not control them.
  • Nothing is charged automatically when the trial ends. [Lawyer: confirm refund and cancellation wording; VAT clause once registered]

4. The service is provided “as is”

  • We do not promise that the service will always be available or free of errors. There is no uptime commitment unless we agree one in writing (Enterprise only).
  • We do not guarantee that any message will be delivered. Delivery depends on WhatsApp and Meta, mobile networks, and your customers’ phones, none of which we control.
  • Wait times shown are estimates.

5. Not for emergencies or medical triage

Turnly orders a queue. It does not assess urgency. You must not rely on it to decide who needs urgent medical attention, and you must have your own process for emergencies. Do not enter patient medical details anywhere in Turnly.

6. Your responsibilities

  • You are solely responsible for your premises, your staff, the services you provide, and your dealings with your customers.
  • Everything you enter (business name, services, prices, answers to common questions) must be accurate and lawful. The AI helper repeats it to your customers.
  • You must follow our Acceptable Use Policy, Meta’s WhatsApp Business and Commerce policies, and the law that applies to your business.
  • You must not try to use Turnly to send marketing or free-form messages. Customers who reply STOP must receive no further messages.

7. Customer data

You are the controller of your customers’ personal data and we process it for you under the Data Processing Agreement, which forms part of these terms. The Privacy Policy describes what is collected and for how long.

8. Indemnity

You will defend and indemnify Turnly against claims, losses and costs arising from your business, your premises, your staff, your services, your content, your use of the service in breach of these terms, or your breach of law. [Lawyer: confirm scope and any carve-outs]

9. Limit of liability

  • To the fullest extent the law allows, Turnly’s total liability arising out of the service is limited to the fees you paid us in the three months before the claim arose.
  • We are not liable for indirect or consequential losses, lost profit, lost business, or lost customers.
  • Nothing in these terms limits liability that cannot be limited by law. [Lawyer: confirm enforceability under UAE law]

10. Suspension and ending

  • We may suspend or end your account immediately for a breach of the Acceptable Use Policy, a safety concern, a credible report of abuse, or a lawful request from an authority. A severe report pauses your public QR codes automatically while we review it.
  • You may stop using Turnly at any time and ask us to delete your account. Data under a legal hold is kept until the hold is lifted.

11. Showing your results

Only if you switch it on, totals from your account (customers served, average wait, rating) may be shown on our investor page under the name you choose. You can switch it off at any time. We never show customer data.

12. Law and courts

13. Changes
